Terms of Service

These Terms of Service ("Terms") govern your use of the GM Digital website at gmdigital360.com, our services, and GMD 360, our reporting and measurement platform (together, the "Services"). By using the Services, you agree to these Terms.
1. Who we are
"GM Digital" ("GM Digital", "we", "us", or "our") is the trading name of GM Digital Ltd (Джи Ем Диджитал ООД), a limited liability company registered in Bulgaria under company number (EIK) 208679110, with its registered office at Manastirski Livadi, bl. B67, fl. 3, apt. 7, 1000 Sofia, Bulgaria. We provide paid-media management, attribution and measurement, creative analytics, and UX/CRO auditing for e-commerce brands, and we operate the GMD 360 platform. 2. The services we provide
We manage advertising campaigns across platforms such as Google Ads, Meta, and TikTok, and we build reporting and measurement on top of clients' analytics and store data through GMD 360. The specific scope, deliverables, fees, and duration of any engagement are set out in a separate written agreement between GM Digital and the client. Where those terms conflict with these Terms, the separate agreement prevails.
3. Eligibility
The Services are intended for businesses and the individuals who represent them. By using the Services you confirm that you are at least 18 years old and authorised to act on behalf of the business you represent.
4. Authorised account connections
To deliver our Services, clients authorise GM Digital to connect to their own accounts on third-party platforms (for example Google Ads, Google Analytics, Meta, TikTok, and Shopify). By granting this access, you confirm that:
- you own or are authorised to grant access to those accounts;
- you authorise GM Digital to access and process the data in them to provide the Services;
- you may revoke that access at any time, though doing so may prevent us from continuing to deliver the Services.
Our handling of data accessed this way is described in our Privacy Policy.
5. Third-party platforms
Our Services depend on third-party platforms that we do not control. Your use of those platforms is subject to their own terms and policies, and you remain responsible for complying with them. GM Digital's use of the Google Ads API and other Google APIs is subject to the applicable Google terms and to the Google API Services User Data Policy. We are not responsible for changes, outages, pricing, or policy decisions made by these platforms.
6. Acceptable use
You agree not to use the Services to: violate any law or third-party right; upload or transmit malicious code; attempt to gain unauthorised access to our systems or data; reverse-engineer or resell GMD 360; or interfere with the operation of the Services.
7. Intellectual property
The Services, including GMD 360, our website, methods, reports, dashboards, and all related software and content, are owned by GM Digital and protected by intellectual-property law. We grant clients a limited, non-exclusive, non-transferable right to access and use the Services for the duration of their engagement. Client data and client-owned advertising accounts remain the property of the client.
8. Fees
Fees for our Services are set out in the applicable engagement agreement. Unless otherwise agreed in writing, fees are payable as stated in that agreement.
9. Confidentiality
Each party will keep the other's confidential information in confidence and use it only to perform under the engagement. This includes client account data, our methods, and any non-public commercial information exchanged between us.
10. Disclaimers
The Services are provided on an "as is" and "as available" basis. Digital advertising results depend on many factors outside our control, including platform algorithms, market conditions, and your own products and pricing. GM Digital does not guarantee any specific advertising performance, ranking, revenue, or return on ad spend. To the fullest extent permitted by law, we disclaim all warranties not expressly stated in a signed agreement.
11. Limitation of liability
To the fullest extent permitted by law, GM Digital will not be liable for any indirect, incidental, special, or consequential damages, or for lost profits or advertising spend. Our total liability arising out of or relating to the Services will not exceed the fees paid to us for the Services in the three months preceding the event giving rise to the claim.
12. Term and termination
Either party may terminate an engagement as set out in the applicable agreement. On termination, we will stop accessing the client's connected accounts and will delete or return client data in line with our Privacy Policy, unless a longer retention period is required by law.
13. Governing law
These Terms are governed by the laws of Bulgaria, and any dispute relating to them will be subject to the jurisdiction of the competent courts of Sofia, Bulgaria, unless otherwise agreed in writing.
14. Changes to these Terms
We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Continued use of the Services after a change means you accept the updated Terms.
